1. The Agreement & Jurisdiction

These terms govern the use of the services provided by Revenuestack Advisory Limited (Company Registration: 80106515), with its registered office at Unit 1603, 16th Floor, The L. Plaza, 367 – 375 Queen’s Road Central, Sheung Wan, Hong Kong (“the Company,” “we,” “us”).

• International Scope: We serve clients globally, including in Australia and the USA.

• Governing Law: This agreement is governed by the laws of the Hong Kong Special Administrative Region.

• Australia: For clients in Australia, these terms are subject to the non-excludable guarantees provided by the Australian Consumer Law (ACL).

2. Business-to-Business (B2B) Only

2.1 Our services are intended for businesses operated by adults. By engaging us, you affirm that you are at least 18 years of age and are acting on behalf of a business entity. We do not provide services for personal, family, or household use.

2.2 Revenuestack Advisory Limited provides business strategy and operational support; our services and communications do not constitute, and should not be relied upon as, professional financial, tax, or legal advice.

4. Results & Earnings Disclaimer

Individual results will vary. Revenuestack Advisory Limited provides the tools, strategy, and infrastructure to help companies improve performance. However, we do not promise, guarantee, or warrant specific income, sales, or ROI. Your success depends on your own execution, market conditions, and business model. We do not sell a "business-in-a-box" or a "get-rich-quick" program.

5. Professional Limitations

No Professional Advice: We provide business operational and strategic advisory. We are not attorneys, accountants, or financial advisors. Any information provided is for business optimization purposes and should be reviewed by your own legal or financial counsel.

6. Intellectual Property & License

6.1 Intellectual Property & Ownership

6.2 Retained Ownership. Revenuestack Advisory Limited retains all right, title, and interest in and to its proprietary methodologies, frameworks, "Revenue Stacks," sales playbooks, scripts, and any custom code or strategic materials provided during the service (collectively, "Company IP"). Nothing in this Agreement shall be construed as a transfer of ownership of the Company IP to the Client unless otherwise specified.

7. Compliance with Law

You are solely responsible for ensuring your business complies with all local and international laws, including but not limited to:

• Marketing Laws: CAN-SPAM (USA), SPAM Act 2003 (Australia).

• Data Privacy: GDPR (EU), HK PDPO (Hong Kong).

• Taxation: You are responsible for reporting and paying all applicable sales and use taxes in your home jurisdiction.

8. Limitation of Liability

To the maximum extent permitted by law (including the HKSAR laws and the Australian Consumer Law), Revenuestack Advisory Limited shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you to the company in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Revenuestack Advisory Limited and its officers from any third-party claims, damages, or legal fees arising from your breach of these terms or your violation of any third-party rights.

10. Mandatory Arbitration & Class Action Waiver

Any dispute arising out of this agreement shall be resolved through final and binding arbitration in Hong Kong under the HKIAC Administered Arbitration Rules. You waive your right to participate in a class action lawsuit or class-wide arbitration.

11. Client Responsibility and Implementation

12.1 Final Decision and Execution. The Client acknowledges that Revenuestack Advisory Limited provides strategic recommendations, operational frameworks, and advisory insights. The final decision to implement any provided strategy, and the subsequent execution of such strategies, remains the sole and exclusive responsibility of the Client.

12.2 Assumption of Risk. The Client understands that business environments are subject to market volatility and external factors beyond the Company’s control. By engaging our services, the Client assumes all risks associated with the implementation of advisory materials. Revenuestack Advisory Limited shall not be held liable for any operational failures, financial losses, or negative business outcomes resulting from the Client’s execution, or lack thereof, of the provided advice.

12.3 Third-Party Compliance. The Client is responsible for ensuring that any strategies implemented comply with the specific laws, regulations, and third-party platform terms (e.g., Meta, Google, etc.) applicable to their unique jurisdiction and industry.

12. Data-Specific Authorization and Third-Party Indemnity

13.1 Authorized Access. The Client represents and warrants that they have obtained all necessary consents, permissions, and legal rights to share any third-party data (including but not limited to the data of the Client’s own customers) with the Company. Any approval provided by the Client—whether via email, project management software, or verbal confirmation—shall be deemed as formal authorization for the Company to process that data.

13.2 Third-Party Claims. Revenuestack Advisory Limited acts solely as a service provider under the direction of the Client. The Client shall defend, indemnify, and hold harmless the Company and its officers from any and all claims, lawsuits, regulatory fines, or damages arising from the use of third-party data provided by the Client.

13.3 Liability for Adverse Outcomes. In the event of data breaches originating from the Client’s systems, privacy litigation initiated by the Client’s customers, or regulatory investigations, the Client acknowledges that final accountability rests with the Client’s internal data management and authorization protocols. Revenuestack Advisory Limited shall not be held liable for the legal or financial consequences of actions taken with the Client’s explicit or implied authorization.
